Welcome to Vitals101 Terms of Service!

Vital-Health Global Limited ("Vitals101", "we" or "us") offers wellness services and solutions which, amongst others, analyses and displays various blood pressure metrics of its users. Please read these terms of services (these "Terms") carefully as they govern your use of the Vitals101 Services (as defined below) and create a binding contract between you and Vitals101.

Please read these Terms carefully before downloading or using the Vitals101 App. By accepting these Terms, or using the App you agree to be bound by them. If you do not understand the Terms, or do not accept any part of them, then you should not use the App. The App is provided by Vital-Health Global Limited whose registered address is at 16 Lavender Drive, East Kilbride City, Glasgow, Scotland, G75 9JJ (e-mail: support@vitals101.com).

1. THE SERVICE

The Service consists of the website www.vitals101.com, and/or our mobile Application (hereinafter referred as the "App", or "The Service").

THE VITALS101 APP IS NOT INTENDED TO PROVIDE YOU MEDICAL CARE OR GIVE YOU MEDICAL ADVICE OR DIAGNOSE OR OFFER PERSONAL HEALTH OR CLINICAL ADVICE. THE APP IS INFORMATIVE AND HELPS YOU MONITOR YOUR BLOOD PRESSURE, BLOOD SUGAR AND WEIGHT. PLEASE CONSULT WITH A LICENSED PRIMARY CARE PHYSICIAN BEFORE MAKING ANY DECISIONS OR TAKING ANY ACTIONS THAT MAY AFFECT YOUR HEALTH AND SAFETY. IF YOU'RE FACING A MEDICAL EMERGENCY, CALL YOUR LOCAL EMERGENCY SERVICES IMMEDIATELY, OR VISIT THE NEAREST EMERGENCY ROOM OR URGENT CARE CENTER. YOU SHOULD CONSULT YOUR HEALTHCARE PROVIDER BEFORE STARTING ANY NUTRITION, DIET, EXERCISE, FITNESS, MEDICAL, OR WELLNESS PROGRAM.

2. ALTERATIONS AND UPDATES

2.1. We may update these Terms from time to time to reflect any changes: (i) in our policies or relevant laws; (ii) in the functionality of the Service; or (iii) imposed on us by any third party suppliers. If you do not agree with the updated Terms you should stop using the Service. If you do not object to the updated Terms within a reasonable time after they are updated Terms are deemed accepted by you.

2.2. We reserve the right to withdraw, take down or amend all or part of the Service and all or part of the content available on the Service at any time to, for example, reflect changes to the law or new technical developments. Any changes will take into account your reasonable interests. Access to all or part of the Service may be restricted from time to time to allow for repairs, maintenance or updating.

3. ACCESS/USE OF THE SERVICE

3.1. You can access the Service by downloading our App

3.2. To access the Service and the features, you may need to register with us. To register, you must provide us with registration information that may include but not limited to: your email address and password of your choosing, your name, gender, etc. Any information you submit through the Service is governed by our Privacy Policy. Please refer to our Privacy Policy for information about how we collect, use and disclose your personal data.

3.3. You are responsible for your account with us and any activity that takes place on your account, whether or not such activity was authorized by you. You must ensure that the details you provide to us are correct and kept up to date and that your password is, and remains, secure and confidential. You must inform us of any changes to the details you provided when registering with us.

3.4. We reserve the right to suspend or remove your account, cancel, or disable and/or prohibit your use of the Service, without prior notice, if we believe there may have been a breach of security or if activities occur on your account that we believe breach these Terms.

3.5. Access to and use of the Service requires a compatible device and internet connection.

3.6. It is your responsibility to ensure that your device complies with these requirements. Your use of the Service may vary in functionality, availability and quality depending on the type of the device and the operating system that it uses and the App accepts no responsibility for any lack of functionality that is due to your equipment (including your device, internet connection, operating system or settings and software).

3.7. It is your responsibility to pay for all costs and expenses that you may incur while using the Service (including, line charges or Internet data service access charges).

4. DISCLAIMERS; USE AT OWN RISK

OTHER THAN TO THE EXTENT SPECIFICALLY AND EXPLICITLY SPECIFIED IN THESE TERMS OR THE DOCUMENTATION, THE SERVICES, AND THE VITALS101 MATERIALS ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.

Vitals101 makes no warranty regarding the accuracy and completeness of any statistics, parameters, data or information monitored and/or displayed through any of the Services ("BP Alerts!"). The Services and the BP Alerts! are not intended to diagnose, treat, monitor, cure, or prevent any disease, and are not intended to match or replace (a) any services or information produced by medical or scientific measurement devices; and/or (b) any diagnosis by you or your physicians of consumption of medication or any other medical parameters; and/or (c) any services or treatments by physicians and other medical care professionals.

Additionally, Vitals101 makes no warranty that the Services will meet your requirements and/or any medical or regulatory standards or be available on an uninterrupted, secure, or error-free basis. You acknowledge and agree that if you rely on any Services, including without limitation the BP Alerts!, you do so solely at your own risk.

5. LIMITATION OF LIABILITY

NEITHER VITALS101, ITS AFFILIATES, OFFICERS AND/OR EMPLOYEES SHALL BE LIABLE FOR (A) ANY INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, COSTS, LOSSES OR EXPENSES INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA AND/OR GOODWILL ARISING OUT OF, OR IN CONNECTION WITH, THE SERVICES AND/OR YOUR OR ANY THIRD PARTY'S RELIANCE UPON THE SERVICES (INCLUDING WITHOUT LIMITATION THE BP ALERTS!).

6. LICENSE OF THE SERVICE

Subject to your compliance with these Terms, the APP grants you a personal, worldwide, non-transferable and non-exclusive license to use the Service, subject to these Terms and the Privacy Policy. Your license is for personal use strictly only. Any business-related activity requires a different license with additional terms and conditions

7. OUR RIGHTS

7.1. All rights, titles and interests in and to the Service (excluding information provided by user) will remain the exclusive property of our APP and its licensors. You are not permitted to use our trade name and logo without our prior Approval.

8. PAID SERVICES

8.1 The APP provides paid subscription and consultancy services

8.2 If you choose to subscribe, you can choose any of our subscription packages. Subscription and use of the account can be managed by the user. Subscription automatically renews unless auto-renew is turned off at least 24-hours before the end of the current period. You can also cancel a subscription by sending us a mail at support@vitals101.com.

PLEASE NOTE THAT ONCE YOU SUBSCRIBE TO A PACKAGE ON THE APP, AND OUR SYSTEM VALIDATES YOUR PURCHASE, YOU WILL NOT BE ELIGIBLE FOR A REFUND.

For Specialist Consultation bookings, if you cancel your Appointment more than 24 hours in advance you'll receive 100% refund, if cancelled within 24hours you'll receive 50% back, if cancelled in less than 12 hours there will be no refund.

9. PRIVACY

Information that you supply to the App is subject to our Privacy Policy, which governs our collection and use of your information, which may include personal data. As part of our provision of the Service, we may need to provide you with certain communications, such as service announcements and administrative messages. These communications are considered part of the Services, which you may not be able to opt-out from receiving.

10. TERMINATION

10.1. You may terminate your use of the Service at any time by ceasing to use the Service.

11. TERMINATION OF TERMS

We may terminate these Terms and close your account at any time without notice, if we cease to provide the Service.

TERMS AND CONDITIONS (TELEHEALTH)

PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE USING OUR MOBILE DEVICE SERVICE AND RELATED WEBSITE.

Vital-Health Global Limited, a business registered in Scotland, United Kingdom ("we" or "us"), provides you with the Vitals101 mobile Service (the "APP") and related website under these Terms and Conditions (this "Agreement"). The APP and the related website are referred to together as the "Service." As used in these Terms and Conditions, 'you' or 'users' refers to individuals using the Service. By using the Service and/or by clicking or 'checking' the "I Agree to the Terms" button, you unconditionally agree to follow and abide by all of the terms of this Agreement.

INTENDED USERS

The Service is available only to users who are at least 18 years old. Under no circumstances should the Service be used by children under 16 years of age, and we will not knowingly collect personal information from any person we know to be in this age group. If you are using the Service for the benefit of a child, please do not provide information relating to such child unless you have obtained the child's parents' or guardians' consent, including their consent to our Privacy Policy.

MODIFICATIONS OF THIS AGREEMENT

We reserve the right to update or modify this Agreement at any time. By continuing to use the Service after any such changes, you agree to follow and be bound by this Agreement as changed. For these reasons, we encourage you to periodically review this Agreement.

DISCLAIMER

Your use of any aspect of the Service is at your own risk. You must consult with your primary healthcare providers and make your medical decisions based on their advice. You agree and acknowledge that Vitals101 does not provide medical services or function as a Hospital, Clinic or dispensary and that all consultations are provided by independent third (3rd) party Professionals. Vitals101 is not liable for consultations given by Doctors on the platform or third-party platforms, all opinions and diagnosis are strictly by the Doctors and Consultants.

USERS RESPONSIBILITY

If you submit any information to us through or related to the Service or send us any business information or feedback by e-mail, you shall ensure that such information is not confidential and that you have all necessary permission to submit or otherwise make available such information. You further agree that:

  • You will not reproduce, duplicate, copy, sell, resell, or exploit the Service, its Content, its software or any portion of any of the foregoing;
  • You will not use the Service for any purpose in violation of local, state, national or international laws;
  • You will not impersonate another person or entity or otherwise misrepresent your affiliation with a person or entity, and/or use or access another user's account or password without permission;
  • You will not violate the legal rights of others, including defaming, abuse, stalking or threatening users;
  • You will not infringe the intellectual property rights, privacy rights, or moral rights of any third party;
  • You will not publish falsehoods or misrepresentations, including with respect to any medical or health information; and
  • You will not post or transmit any Content that is (or reasonably should be understood to be) libellous, defamatory, obscene, offensive (including material promoting or glorifying hate, violence, or bigotry or otherwise inappropriate to the community ethos of the Service).

LICENSE GRANT

We hereby grant to you a limited, non-exclusive, non-assignable, non-sublicensable license to access and use our Service. This license is only for your personal and non-commercial use and only for the term of this Agreement.

OWNERSHIP

Vital-Health Global Limited and its licensors own the website and App, including any material or Content made available through the Service, including our proprietary algorithm, and all worldwide intellectual property rights in the foregoing.

TERMINATION

This Agreement is effective until terminated by either you or us. You may terminate this Agreement at any time, provided that you discontinue any further use of the Service. If you violate this Agreement, our permission to you to use the Service automatically terminates.

CHOICE OF LAW AND FORUM

This Agreement shall be governed in all respects under the laws of the United Kingdom, exclusive of its choice of law or conflict of law provisions. In any claim or action by you directly or indirectly arising under this Agreement or related to the Service, you irrevocably agree to submit to the exclusive jurisdiction of the courts located in Scotland.

All notices to you relating to this Agreement shall be posted on the Service or sent to you via the email that you provided to us. All notices to us relating to this Agreement may be made by e-mail to support@vitals101.com. Notice shall be deemed given when notice is posted on the Service or when the e-mail is sent, unless the sending party is notified that the email address is invalid.

I CONFIRM THAT I AM AT LEAST 18 YEARS AND I HAVE READ THESE TERMS AND AGREE TO ALL OF THE PROVISIONS CONTAINED ABOVE.
